Terms of Service

Effective March 20, 2026. Please read these terms carefully before using the Tripwire Data platform.

Welcome to Tripwire Data. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Tripwire Data ("Tripwire," "we," "us," or "our"), governing your access to and use of the Tripwire Data platform, dashboard, API, data feeds, and all related services (collectively, the "Service").

By creating an account, accessing the dashboard, using the API, or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

1. Definitions

"Account" means the unique account created by or for you to access the Service. "API" means the Tripwire Data application programming interface, including all endpoints, documentation, and related tools. "Data" means the business intelligence records, leads, and related information made available through the Service, including business names, addresses, phone numbers, industry classifications, and cross-referenced signals. "Dashboard" means the web-based interface through which you access, search, filter, and export Data. "Plan" means the specific subscription tier you have selected (e.g., Starter, Pro, or Enterprise), including its associated features, limits, and pricing. "Subscription Period" means the recurring billing cycle (monthly or annual) associated with your Plan.

2. Account Registration and Eligibility

To use the Service, you must create an Account by providing accurate and complete information. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. You are responsible for maintaining the confidentiality of your Account credentials, including your password and API key(s). You are responsible for all activity that occurs under your Account, whether or not authorized by you.

You agree to notify us immediately at info@tripwiredata.com if you become aware of any unauthorized use of your Account or any other breach of security. We reserve the right to suspend or terminate any Account that we reasonably believe has been compromised.

3. The Service

Tripwire Data provides a business intelligence platform that detects new businesses and delivers actionable lead data to subscribers. The Service includes dashboard access, data search and filtering, CSV export, and (depending on your Plan) REST API access, webhook delivery, CRM integrations, and saved alert functionality.

The specific features, data coverage, update frequency, and usage limits available to you depend on your selected Plan. We may modify, add, or discontinue features of the Service at any time. If we make a material reduction in the core functionality of your Plan, we will provide at least 30 days' written notice.

4. Free Trial

We may offer a free trial period for new Accounts. The duration and terms of the free trial will be specified at the time of registration. During the free trial, you will have access to the features of your selected Plan.

At the end of the free trial period, your Account will either convert to a paid subscription (if you have provided valid payment information) or your access will be suspended until payment information is provided. We reserve the right to modify or discontinue free trials at any time without notice.

Free trials are limited to one per individual or entity. If we determine that you have previously used a free trial, we may cancel the trial and charge the applicable subscription fee immediately.

5. Fees, Payment, and Billing

Subscription Fees. You agree to pay the subscription fees associated with your selected Plan as published on our pricing page or as otherwise agreed in writing. All fees are quoted and payable in U.S. dollars. Billing Cycle. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selection). Your billing cycle begins on the date your first payment is processed and recurs on the same date of each subsequent period. Payment Method. You must provide a valid payment method (credit card, debit card, or other accepted method) to maintain an active subscription. You authorize us to charge your payment method for all fees due under your Plan.

Automatic Renewal. Your subscription will automatically renew at the end of each Subscription Period at the then-current rate unless you cancel before the renewal date. It is your responsibility to cancel before the next billing cycle if you do not wish to renew. Price Changes. We may change our subscription fees at any time. If we increase fees for your current Plan, we will provide at least 30 days' advance notice. The new fees will apply at the start of your next Subscription Period following the notice. Your continued use of the Service after a price change constitutes acceptance of the new fees.

Taxes. All fees are exclusive of applicable sales, use, value-added, and other taxes. You are responsible for all applicable taxes. Failed Payments. If a payment fails, we will attempt to process the charge again. If payment remains unsuccessful after reasonable retry attempts, we may suspend your access to the Service until the outstanding balance is resolved. You remain responsible for all unpaid fees.

6. No Refunds

ALL FEES ARE NON-REFUNDABLE. Once a charge has been processed for a Subscription Period, you are entitled to access the Service through the end of that Subscription Period, but no refund, credit, or proration will be issued for any reason, including but not limited to: cancellation before the end of a Subscription Period, downgrade to a lower-tier Plan, dissatisfaction with the Service, failure to use the Service, or partial-month usage.

If you cancel your subscription, your cancellation will take effect at the end of your current Subscription Period. You will retain full access to the Service until that date, after which your access will be terminated and no further charges will be made.

If you are on an annual Plan and cancel mid-term, you will retain access through the remainder of your annual Subscription Period. No partial refunds or prorated credits will be issued for unused months.

7. Cancellation

You may cancel your subscription at any time through your Account settings or by contacting us at info@tripwiredata.com. Cancellation does not trigger a refund. Upon cancellation: (a) Your access to the Service will continue through the end of your current paid Subscription Period. (b) No further charges will be made to your payment method after cancellation, provided you cancel before the next renewal date. (c) Any Data previously exported or downloaded by you remains yours, subject to the license restrictions in Section 9. (d) Your API keys, webhook configurations, and saved alerts will be deactivated at the end of the current Subscription Period.

We are not obligated to retain your Account data, saved configurations, or export history after termination. If you wish to preserve any information, you must export it before your access ends.

8. Acceptable Use

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable state and federal telemarketing and data privacy laws. You agree NOT to: (a) Resell, redistribute, sublicense, or make the Data available to any third party in raw or substantially unmodified form, whether for free or for a fee, without our prior written consent. (b) Use the Data to build, train, or improve a competing product or service. (c) Scrape, crawl, or use automated means to access the Service or extract Data beyond the API and export features provided under your Plan. (d) Exceed the usage limits of your Plan, including daily API call limits, export volumes, or any other restrictions specified for your tier. (e) Share your API key(s), Account credentials, or login access with any unauthorized individual or entity. (f) Use the Data for any purpose that is harassing, threatening, defamatory, abusive, or otherwise harmful to the individuals or businesses identified in the Data. (g) Attempt to reverse-engineer, decompile, or derive the underlying data sources, collection methods, or algorithms of the Service. (h) Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure.

Violation of this Section may result in immediate suspension or termination of your Account without notice or refund.

9. Data License and Ownership

License Grant. Subject to your compliance with these Terms and payment of applicable fees, Tripwire grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Data solely for your internal business purposes during the term of your subscription. Ownership. Tripwire retains all right, title, and interest in and to the Service, including all software, algorithms, data processing pipelines, enrichment methods, cross-referencing logic, database schemas, user interfaces, and documentation. Nothing in these Terms transfers any ownership rights to you.

Data Accuracy. While we take reasonable steps to ensure Data quality and accuracy, the Data is provided on an "as-available" basis. Tripwire does not guarantee the accuracy, completeness, timeliness, or reliability of any individual record. You are responsible for independently verifying any Data before relying on it for business decisions, regulatory compliance, or legal purposes. Feedback. If you provide suggestions, feature requests, or other feedback about the Service, you grant Tripwire an irrevocable, perpetual, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.

10. API-Specific Terms

If your Plan includes API access, the following additional terms apply: (a) You will use the API in accordance with our published API documentation and rate limits. (b) API keys are confidential. You must not share, publish, or embed API keys in client-side code, public repositories, or any other publicly accessible location. (c) We may throttle, suspend, or revoke API access if we detect abusive usage patterns, excessive request volumes, or any use that degrades the Service for other customers. (d) We reserve the right to modify the API, including endpoints, response formats, and rate limits, with reasonable notice. We will make commercially reasonable efforts to maintain backward compatibility for documented endpoints.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, available at TripwireData.com/privacy. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

You acknowledge that the Data provided through the Service may include personal information of third parties, such as names, business addresses, and phone numbers. You agree to handle all such information in compliance with all applicable data protection and privacy laws.

12. Disclaimer of Warranties

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, TRIPWIRE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Tripwire does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Tripwire does not warrant that the Data will be accurate, complete, or current at all times. You assume all risk associated with your use of the Service and reliance on the Data.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRIPWIRE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF TRIPWIRE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRIPWIRE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO TRIPWIRE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Tripwire and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service or Data; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including TCPA, CAN-SPAM, or other telemarketing and data privacy laws; or (d) any claim by a third party arising from your outreach, marketing, or other activities based on Data obtained through the Service.

15. Suspension and Termination

Suspension. We may suspend your access to the Service immediately and without notice if: (a) you violate these Terms; (b) your payment is past due; (c) we reasonably believe your Account has been compromised; or (d) continued access would pose a security risk to the Service or other customers.

Termination by Tripwire. We may terminate your Account and these Terms at any time for cause (including material breach of these Terms) upon written notice. In the event of termination for cause, no refund will be issued. We may also terminate your Account without cause upon 30 days' written notice, in which case we will provide a pro-rated refund for any prepaid and unused portion of your current Subscription Period.

Effect of Termination. Upon termination, your right to access and use the Service ceases immediately (or at the end of your current Subscription Period, as applicable). Sections 6, 8, 9, 12, 13, 14, 16, 17, and 18 survive termination.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Collin County, Texas. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any Plan-specific terms presented at the time of purchase, constitute the entire agreement between you and Tripwire regarding the Service and supersede all prior agreements and understandings. Modifications. We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Waiver. The failure of Tripwire to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. Tripwire may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

Force Majeure. Tripwire shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, internet outages, third-party service provider failures, or data source unavailability. Notices. All notices under these Terms shall be sent by email. Notices to Tripwire shall be sent to info@tripwiredata.com. Notices to you shall be sent to the email address associated with your Account.
